This Agreement is aimed at establishing basic terms and conditions applicable to the use of the service between NCsoft Corporation (‘Company’) and members of Springnote such as developers or service providers (‘Users’) who use Springnote Open API service (‘API Service’) provided by the Company.
Given the fact that this Terms of Service Agreement is about the use of Internet services, it is published on the Springnote website, or http://www.springnote.com. When the user agrees to the terms, this agreement takes effect.
Regarding matters that are not specified in this agreement, instructions and standards for each Springnote service related to Springnote Service Terms of Service Agreement and the API Service shall be followed.
Article 2. DEFINITIONS
The terms used in this Agreement are defined as follows.
API service refers to the service developing Web services and application development services using Springnote Open API offered to the Users by the Company to facilitate free and creative service development through voluntary participation on the part of the Users.
API, an abbreviation of Application Programming Interface, refers to a set of functions that define the capabilities provided by the Company and how to use the capabilities so that the Users can use Springnote features and its data platform freely on the application or Web service they built.
Mashup refers to the application or Web service created by the Users using the Company’s API Service after receiving application authentication key from the Company.
The application authentication key refers to the unique identification key allocated to a mashup by the Company to make sure the Users gained permission to use API service from the Company and to identify the mashup made by the authorized Users.
The definitions of the terms used in this Agreement comply with relevant laws, Springnote Terms of Service Agreement and other general business practices except those defined in Paragraph 1.
Article 3. API DEVELOPMENT METHOD
First, the Users shall be members of the Springnote Service by signing up for the Springnote Service. Then, Users can register the mashup to Springnote service provided by the Company using API service after agreeing to the Agreement and registration following procedure set by the Company.
The Users may develop and redistribute mashup freely using Springnote API services.
The Users shall be given an application authentication key for mashup from the Company. The Users can have access to the API Service of the Company by using the key.
When producing mashup as stated in this Agreement using the Company’s API, Users shall not combine, relate or link contents that violate copyrights, trademarks, patents and other intellectual property rights; are illegal and can disrupt social order; are immoral, sexually explicit, violent and contain repulsive materials.
Article 4. LIMITATION OF SERVICE
The Company can set the limitation of API service or mashup or determine special service hours or the number of times service can be used with notification in advance.
The Company can stop a user from using the API Service if the user uses the API Service offered by the Company in a way damaging the business of the Company.
When the Users violate the related laws, the Agreement or Service Use Criteria, the Company can cease API Service using mashup without having to notify the Users in advance regardless of the above condition.
When the mashup the Users create attempts to launch illegal hacking against the API Service through abusive methods or overuse the network, the Company can cease the Users’ mashup and API use upon notification of its own manner such as via e-mail.
When issuing an application authentication key for API service, the Company can determine the service period. The Company shall notify the Users when it wants to change the period no less than one month before.
The Users shall not provide, assign, lend, offer as a security to a third party or share with a third party the application authentication key, which is provided by the Company for other purposes than those or the API Service. Only the Users who are provided with application authentication key can use the Service in accordance with this Agreement.
For each application authentication key, daily demand volume and traffic may be limited, and relevant information about limited traffic, etc. shall be published on the homepage. In addition, when the Users use more service than the limit, they shall consult the Company about it separately.
When the Users withdraw from Springnote service or API Service, they shall lose all rights to use the service. Therefore, the Users may not use any application authentication key issued by the Company and use any mashup related to the key, either.
The Company may formulate additional new rules concerning attempted abusing of service, overuse of network, damaging activities to the Company’s operation and other abusive use of service by the Users, and may also set actions (tentatively called “Policy against Abusive Users”) against such abusive use of service by the Users and notify them on Springnote service homepage, or http://www.springnote.com.
Article 5. HOLDER OF INTELLECTUAL PROPERTY RIGHTS
The copyrights for the mashup created by the Users using the Company’s API Service are held by the Users only for the contribution made by the Users.
The copyrights for the API Service provided by the Company and other intellectual property rights are held by the Company and the Company may change or end API or API Service depending on its plan or operation.
In case the mashup is made through combining APIs provided by the Company and a third party, the Users shall clearly indicate where they are used.
The Company may use the mashup produced by the Users using the API Service for display, public relations or service advertisement which are deemed required for operation of Springnote service and API service in accordance with Springnote Terms of Service Agreement and related laws.
The copyrights for the product of API service are held by the Company or a third party. The Company’s approval of use of API service does not give the Users the copyrights or intellectual property rights for the end product of API service.
When using an end product made by the API Service, the Users shall observe the license set by the creator of the product.
The Users shall clearly indicate that the mashup is made using “Springnote Open API” of the Company in the ways set by the Company. Detailed conditions for indication methods shall follow the notice which the Company publishes on Springnote service homepage, or http://www.sprintnote.com.
The Users are only allowed to use API provided by the Company within the scope of use set by the Company. The Users are not allowed to use trademark/service mark, copyrights, patent rights and other intellectual property rights of the Company.
Article 6. LIMITATION OF COMPANY RESPONSIBILITY
The Company shall not be held responsible for any results caused by the user using Springnote API service.
The Company does not guarantee credibility, fairness, legality or profitability as a result of using the API Service.
The Company shall not be held responsible for any damages done to the Users as a result of disability of API.
Article 7. USE OR WITHDRAWL OF PERSONAL INFORMATION
The Company shall preserve the Users’ IDs to use them in delivering a notice to the Users and investigating service use conditions in the process of operating the API Service.
The Company shall preserve only the information the Users offer in accordance with User Information Provision Agreement, and manage the information properly in accordance with the Personal Information Protection Policy of Springnote.
When the Users withdraw from the service or when the Users cancel registration of a particular mashup, the Company assumes the Users withdraw the agreement to provide personal information and cease to use of the mashup.
If the Company ends the API Service or the Users withdraw Personal Information Provision Agreement, the Company shall remove the personal information of the Users quickly.
